These Terms & Conditions (“Terms”) govern your access to and use of the OAK.LEGAL platform and related services (collectively, the “Services”).
By creating an account, purchasing a subscription, accessing or using the Services, you agree to be bound by these Terms. If you are accessing or using the Services on behalf of a law firm, company or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Eligibility
OAK.LEGAL is a subscription-based software platform intended for use by licensed law firms and their authorized personnel.
To use the Services, you must provide accurate, current and complete information and maintain that information throughout your use of the platform.
You are responsible for ensuring that all individuals you authorize to access your organization's account are authorized to do so and comply with these Terms.
We reserve the right to approve, restrict or deny access to the Services where reasonably necessary to protect the platform, its users or our business.
2. Accounts and Account Security
An organization may create accounts for authorized users in accordance with its subscription.
Users are responsible for maintaining the confidentiality of their login credentials and for using reasonable security practices when accessing the Services.
You agree to:

Keep login credentials confidential

Not share individual user accounts or login credentials

Maintain accurate account information

Promptly disable access for users who are no longer authorized

Notify OAK.LEGAL of suspected unauthorized access or account compromise

Take reasonable steps to protect devices and credentials used to access the Services
The organization associated with an account is responsible for activity conducted by its authorized users.
3. User Responsibilities
You agree to use the Services only for lawful, legitimate professional purposes and in accordance with applicable laws, regulations and professional obligations.
You may not:

Reverse-engineer, decompile or attempt to obtain the source code of the Services

Copy, reproduce, modify or create derivative works of the Services

Circumvent security features or access controls
-
Access information or accounts without authorization
-
Introduce malware, malicious code or other harmful material

Interfere with the operation or availability of the Services

Use the Services to violate applicable laws or professional obligations
-
Infringe the rights of another person or organization
-
Resell, sublicense or otherwise provide unauthorized access to the Services
We may investigate suspected misuse and take appropriate action, including suspension or termination of access.
4. Subscription and Paid Access
OAK.LEGAL is a paid subscription service. All functionality and features of the OAK.LEGAL platform require an active paid subscription.
Subscriptions are purchased on behalf of an organization and may be based on the number of users, seats, licenses or other applicable subscription parameters.
The applicable subscription plan, pricing, billing frequency, user or seat limits and other applicable charges will be presented to you during the purchase process or within the OAK.LEGAL platform.
OAK.LEGAL reserves the right to change its subscription plans, pricing and available features. Any applicable changes will be communicated in accordance with applicable law and the terms presented to customers.
5. User Seats and Subscription Changes
Depending on the subscription plan selected, charges may be based in whole or in part on the number of users, seats or licenses associated with an organization's account.
Customers may be permitted to add, remove or modify users or seats through the available account and billing controls.
Where applicable, charges for changes made during an active billing period may be prorated based on the remaining portion of that billing period.
Any credits resulting from changes to a subscription will be handled in accordance with the applicable billing terms presented to the customer at the time of the change.
6. Subscription Billing and Automatic Renewal
OAK.LEGAL subscriptions are billed on a recurring basis according to the billing cycle selected during purchase.
Unless otherwise stated during the purchase process, subscriptions automatically renew at the end of each billing period until canceled.
By confirming a subscription purchase, you authorize OAK.LEGAL and its designated payment processor to charge the payment method associated with your account for applicable subscription fees, additional services or users, taxes and other disclosed charges.
The applicable renewal date and subscription information may be available through the OAK.LEGAL billing dashboard.
7. Payment Methods
Subscription payments may be processed through third-party payment processors, including Stripe and other payment services made available through the platform.
Payment card information is collected and stored by the applicable payment processor rather than by OAK.LEGAL.
Customers may manage their payment methods through the billing controls provided within the platform or through the applicable payment processor.
By providing or updating a payment method, you authorize the applicable payment method to be charged for current and future amounts due under your subscription.
8. Failed Payments
If a subscription payment cannot be successfully processed, OAK.LEGAL or its payment processor may attempt to collect the outstanding amount using the payment method associated with the account or request that the customer update its payment information.
If payment remains outstanding, OAK.LEGAL may suspend or restrict access to the Services until the account is brought current.
9. Cancellation
The organization associated with a subscription may request cancellation of its subscription through the cancellation process made available by OAK.LEGAL or by contacting OAK.LEGAL.
Cancellation will prevent future subscription renewals.
Unless otherwise stated during purchase or required by applicable law, cancellation does not automatically result in a refund of amounts already paid for the current billing period.
Access to the Services may remain available through the end of the applicable paid subscription period.
10. Refunds and Credits
Subscription payments are generally non-refundable, except where otherwise required by applicable law or expressly provided by OAK.LEGAL.
Where a customer is eligible for a credit as a result of a subscription change, the credit may be applied toward future charges in accordance with the applicable billing terms.
11. Taxes
Subscription prices may not include applicable sales, use or other taxes unless expressly stated.
Customers are responsible for applicable taxes associated with their purchase, except taxes imposed on OAK.LEGAL's income.
12. Platform Access and Availability
OAK.LEGAL may modify, update, improve or discontinue portions of the Services from time to time.
We may temporarily restrict access to the Services when reasonably necessary for:

Security
-
Software updates
-
Infrastructure changes
-
Emergency situations
-
Legal or regulatory requirements
We strive to provide reliable access to the Services but do not guarantee that the platform will be uninterrupted, error-free or available at all times.
13. Customer Data
As between the customer and OAK.LEGAL, the customer retains its rights in information and content submitted, uploaded or stored through the Services (“Customer Data”).
OAK.LEGAL does not claim ownership of Customer Data.
You grant OAK.LEGAL the limited rights necessary to host, store, process, transmit and otherwise use Customer Data as reasonably necessary to provide, maintain, secure and support the Services.
You represent that you have the necessary rights and permissions to provide Customer Data to OAK.LEGAL and authorize its processing as contemplated by these Terms.
14. Confidentiality and Sensitive Information
Customers may use the Services to manage confidential, proprietary, personal or other sensitive information.
Customers are responsible for determining what information is appropriate to submit to the Services and for complying with applicable confidentiality, privacy, professional responsibility and data protection requirements.
OAK.LEGAL maintains administrative, technical and organizational safeguards designed to protect information maintained through the Services.
However, no electronic system or method of transmission or storage can be guaranteed to be completely secure.
15. Professional and Legal Disclaimer
OAK.LEGAL is a software and technology provider and is not a law firm. OAK.LEGAL does not provide legal advice, legal representation or legal services.
Use of the Services does not create an attorney-client relationship between OAK.LEGAL and any customer, user or client of a customer.
OAK.LEGAL does not provide legal advice regarding the use of the platform or determine whether a customer's use of the Services satisfies its professional, ethical or regulatory obligations.
Customers remain solely responsible for their legal practice, professional judgment, client relationships, records and compliance obligations.
16. Compliance Responsibilities
Customers are responsible for determining how the Services should be used within their organization and for complying with all laws, regulations and professional obligations applicable to their use of the platform.
OAK.LEGAL does not represent that use of the Services alone will make a customer compliant with any particular law, regulation, professional rule or industry standard.
17. HIPAA and Regulated Information
Where applicable, OAK.LEGAL may enter into a separate Business Associate Agreement (“BAA”) with customers whose use of the Services involves protected health information (“PHI”) subject to HIPAA.
Where a BAA applies, the BAA will govern the parties' respective obligations regarding PHI to the extent of any conflict between the BAA and these Terms.
Customers are responsible for determining whether their use of the Services involves PHI or other regulated information and for notifying OAK.LEGAL when additional contractual requirements apply.
18. Security
OAK.LEGAL maintains administrative, technical and organizational safeguards designed to protect the confidentiality, integrity and availability of information processed through the Services.
Security measures may include access controls, authentication, encryption, monitoring, logging, backups and other safeguards appropriate to the Services.
Security practices may change as the platform and applicable security standards evolve.
No security measure can eliminate every potential security risk, and OAK.LEGAL cannot guarantee that unauthorized access, security incidents or data loss will never occur.
19. Third-Party Services
The Services may use or integrate with third-party services, including payment processors, hosting providers, email services, analytics providers, security services and other technology providers.
Your use of third-party services may be subject to their separate terms and privacy policies.
OAK.LEGAL is not responsible for the availability, performance or practices of third-party services outside of OAK.LEGAL's reasonable control.
20. Intellectual Property
The OAK.LEGAL platform, including its software, interface, design, functionality, documentation, branding and underlying technology, is owned by or licensed to OAK.LEGAL and is protected by applicable intellectual property laws.
These Terms do not transfer ownership of the Services or any OAK.LEGAL intellectual property to you.
You receive only the limited right to access and use the Services during an active subscription in accordance with these Terms.
21. Feedback
If you provide suggestions, ideas or other feedback regarding the Services, you grant OAK.LEGAL permission to use that feedback without restriction or compensation.
This does not transfer ownership of your Customer Data or confidential information.
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
OAK.LEGAL DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
OAK.LEGAL DOES NOT WARRANT THAT THE SERVICES WILL:

Be uninterrupted

Be error-free
-
Meet every customer requirement
-
Produce a particular result
-
Remain unchanged
-
Be completely secure
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OAK.LEGAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
24. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless OAK.LEGAL and its respective officers, employees, contractors and service providers from claims, damages, liabilities, costs and expenses arising from:

Your violation of these Terms

Your misuse of the Services

Your violation of applicable law

Your Customer Data

Your unauthorized use of the Services

Your violation of another person's rights
25. Suspension and Termination
OAK.LEGAL may suspend or terminate access to the Services if:

You violate these Terms

Subscription fees remain unpaid

Your account presents a security risk
-
You engage in fraudulent or unlawful activity

You misuse the Services
-
Your use of the Services threatens the security or integrity of the platform
Where reasonably practicable, OAK.LEGAL may provide notice before suspension or termination.
Termination does not eliminate payment obligations incurred before termination.
26. Data Following Cancellation or Termination
Following cancellation or termination, Customer Data may remain stored for a limited period in accordance with OAK.LEGAL's data retention policies and applicable legal or contractual obligations.
Where available, customers may request export of their Customer Data before or following termination, subject to applicable policies and technical limitations.
27. Privacy
OAK.LEGAL's collection, use and disclosure of personal information is described in the OAK.LEGAL Privacy Policy.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
28. Changes to the Services
OAK.LEGAL may modify, enhance or discontinue features of the Services from time to time.
We may make changes necessary to improve security, comply with legal requirements, maintain the platform or introduce new functionality.
29. Changes to These Terms
We may update these Terms periodically.
When material changes are made, we may provide notice through the platform, by email or by other reasonable means.
The updated Terms will include a revised “Last Updated” date.
Your continued use of the Services following the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
30. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles.
31. Dispute Resolution
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute arising out of or relating to these Terms or the Services.
A party seeking to resolve a dispute should first provide written notice to the other party describing the nature of the dispute and the requested resolution. The parties will then have a reasonable opportunity to discuss the matter and attempt to reach a mutually acceptable resolution.
If the parties are unable to resolve the dispute through good-faith discussions, either party may pursue any remedies available under applicable law.
32. General Provisions
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
The failure to enforce any provision of these Terms does not constitute a waiver of that provision.
These Terms, together with any agreements expressly incorporated by reference, constitute the agreement governing your use of the Services.
